1. Applicability

1.1 These Terms apply to all offers, quotations, agreements, deliveries, rentals, and services of Transpired Solar.

1.2 These Terms also apply to agreements with business customers and, where applicable, consumers. If you are a consumer, mandatory consumer rights apply and prevail over these Terms where required by law.

1.3 Any terms and conditions of the customer are expressly rejected, unless we have accepted them in writing.

1.4 If any provision of these Terms is invalid or unenforceable, the remaining provisions remain in full force. The invalid provision will be replaced by a valid provision that best reflects its intended purpose.

2. Offers and quotations

2.1 All offers and quotations are non-binding, unless expressly stated otherwise in writing.

2.2 Quotations are based on the information, drawings, dimensions, and specifications provided by the customer. We may assume that this information is complete and correct.

2.3 Quotations are valid for 30 days, unless a different period is stated in the quotation.

2.4 Prices are in EUR and exclude VAT, shipping, transport, installation, and other additional costs, unless expressly stated otherwise.

2.5 We may charge reasonable costs for preparing a detailed quotation, engineering work, or technical assessment if this has been agreed in advance.

3. Orders and agreement

3.1 An agreement is concluded when we confirm the order in writing or when we start carrying out the agreed work.

3.2 Changes to an order must be agreed in writing. Changes may affect price, delivery time, and technical feasibility.

3.3 The customer is responsible for providing all information, permits, approvals, and site access needed for the delivery, installation, or use of the system.

4. Prices and payment

4.1 Prices are based on the cost factors applicable at the time of the quotation, including material, transport, and production costs.

4.2 If more than four months have passed since the quotation date and the work has not yet been completed, we may adjust prices due to increased material, transport, or production costs.

4.3 Unless agreed otherwise, payment is made as follows:

  • 60% deposit when the order is placed;
  • 40% balance before delivery or completion.

4.4 We may require advance payment or security before starting production or delivery.

4.5 Invoices must be paid within 14 days of the invoice date, unless stated otherwise.

4.6 Late payment may result in statutory interest, reasonable collection costs, and suspension of further work or delivery.

4.7 The customer may not set off claims against us unless we have expressly agreed in writing or the customer is legally entitled to do so.

5. Delivery and risk

5.1 Delivery times are estimates, unless expressly agreed as a fixed deadline in writing.

5.2 Delivery times may be extended by circumstances beyond our control, including weather, supplier delays, transport problems, strikes, force majeure, and changes requested by the customer.

5.3 Unless agreed otherwise, delivery takes place ex works or at a location agreed in writing.

5.4 The risk in the goods passes to the customer at the moment the goods are made available for delivery, even if transport is arranged by us.

5.5 The customer must ensure safe access for delivery, including suitable roads, unloading facilities, and space for a container or transport vehicle.

5.6 If the customer does not accept delivery at the agreed time, we may store the goods at the customer’s risk and expense.

6. Installation and site requirements

6.1 If installation is included, the customer must provide timely access, suitable conditions, and any required facilities such as power, water, and secure storage.

6.2 The customer is responsible for foundation, groundworks, permits, building permission, and structural suitability, unless expressly agreed otherwise in writing.

6.3 We are not responsible for delays or damage caused by incorrect site information, unsuitable ground, obstructions, or third-party work.

7. Inspection and complaints

7.1 The customer must inspect the delivered goods or completed work promptly after delivery or completion.

7.2 Visible defects or shortages must be reported in writing within 14 days of delivery or completion.

7.3 Hidden defects must be reported in writing within a reasonable time after discovery, and in any case within the applicable legal period.

7.4 Complaints must include a clear description and, where possible, photos or other evidence.

7.5 If a complaint is justified, we may choose to repair, replace, or credit the affected goods or work.

8. Warranty

8.1 We warrant that our products and work are performed in accordance with the agreed specifications and with normal care and craftsmanship.

8.2 Unless agreed otherwise, the warranty period is 12 months from delivery or completion.

8.3 Warranty does not cover:

  • normal wear and tear;
  • damage caused by misuse, neglect, or improper maintenance;
  • damage caused by incorrect installation or work by third parties;
  • damage caused by weather conditions beyond normal use, storms, hail, lightning, or flooding;
  • changes or repairs made without our written consent;
  • performance variations caused by weather, location, shading, building use, or user settings.

8.4 Warranty claims must be reported in writing and allow us the opportunity to inspect and repair the issue.

8.5 If you are a consumer, mandatory statutory warranty rights apply and prevail where they offer stronger protection.

9. Performance, savings, and expectations

9.1 All performance figures, temperature rises, savings, payback times, and energy outputs are estimates, unless expressly guaranteed in writing.

9.2 Actual performance depends on factors including weather, solar radiation, location, orientation, shading, building insulation, ventilation needs, installation, user settings, and energy prices.

9.3 We do not guarantee specific energy savings, gas savings, CO₂ reductions, or payback periods, unless expressly agreed in writing.

9.4 The customer is responsible for using the system in accordance with the installation manual and technical instructions.

10. Rental

10.1 If a system is rented, the rental agreement and any separate rental addendum apply in addition to these Terms.

10.2 Unless agreed otherwise, rental includes delivery, setup support, and maintenance as described in the quotation or rental agreement.

10.3 The customer must use the rented system carefully and appropriately and must not modify it without our written consent.

10.4 The customer is responsible for damage caused by misuse, neglect, or unauthorized changes during the rental period.

10.5 Return conditions, cleaning, damage assessment, and late-return fees may be set out in the rental agreement.

11. Intellectual property

11.1 All designs, drawings, technical documentation, calculations, software, website content, images, and models provided by us remain our property or that of our licensors.

11.2 The customer may not copy, reproduce, modify, publish, or share these materials with third parties without our prior written consent.

11.3 We retain all copyright, design rights, patent rights, and other intellectual property rights in our products, systems, and documentation.

12. Confidentiality

12.1 Both parties must keep confidential information received from the other party confidential and use it only for the purpose of the agreement.

12.2 This does not apply to information that is public, already lawfully known, or must be disclosed by law.

13. Liability

13.1 Our liability is limited to direct damage caused by an attributable failure in the performance of the agreement.

13.2 Our total liability is limited to the invoice value of the relevant order, excluding VAT, unless the damage is caused by intent or gross negligence or mandatory law provides otherwise.

13.3 We are not liable for:

  • indirect damage, including loss of profit, loss of production, business interruption, or loss of data;
  • damage caused by incorrect use, incorrect installation by third parties, or failure to follow instructions;
  • damage caused by weather conditions, site conditions, or circumstances outside our control;
  • performance shortfalls caused by factors outside our control.

13.4 Nothing in these Terms excludes liability that cannot be excluded under mandatory law.

14. Retention of title

14.1 We retain ownership of delivered goods until the customer has paid all amounts due under the agreement, including any interest and costs.

14.2 Until full payment, the customer may not sell, pledge, or encumber the goods without our written consent, except in the normal course of business where our rights are respected.

14.3 If payment is not made, we may reclaim the goods and enter the location where they are stored.

15. Cancellation and termination

15.1 If the customer cancels an order after confirmation, the customer must pay for work already performed, materials ordered, and reasonable costs incurred.

15.2 We may terminate or suspend the agreement if the customer fails to pay, breaches these Terms, or becomes insolvent.

15.3 If we terminate due to the customer’s breach, the customer remains liable for amounts due and reasonable damages.

15.4 Consumer cancellation rights under mandatory law remain unaffected.

16. Force majeure

16.1 We are not liable for delays or failure to perform caused by force majeure, including natural events, extreme weather, strikes, transport disruptions, supplier failure, government measures, or other circumstances beyond our reasonable control.

16.2 During force majeure, our obligations are suspended. If the situation lasts longer than six months, either party may terminate the affected part of the agreement without liability for damages.

17. Complaints and disputes

17.1 Complaints should first be reported to info@transpiredsolar.com so we can try to resolve the issue.

17.2 If a dispute cannot be resolved amicably, it will be submitted to the competent court in the Netherlands, unless mandatory law provides otherwise.

17.3 If you are a consumer, you may also use applicable consumer dispute resolution options where available.

18. Governing law

18.1 These Terms and all agreements are governed by the laws of the Netherlands.

18.2 The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

18.3 If you are a consumer, this choice of law does not deprive you of mandatory consumer protection in your country of residence.

19. Changes to these Terms

19.1 We may update these Terms from time to time. The updated version will be published on this page with a new “Last updated” date.

19.2 Changes do not affect agreements already concluded, unless required by law or expressly agreed.
